Life Coaching and Website Services Agreement Strike A Balance Life Design Inc., a Michigan Corporation (“Life Coach” Fitness Expert”) agrees to provide Life Coaching Services and/or fitness advice the Website client (“client”) agree to accept Life Coaching services and products under the following terms and conditions (the “Agreement”). Sometime the Life Coach and Client may be collectively referred to as the “Parties”. In consideration of the mutual covenants and conditions contained in this Agreement, the Parties understand and agree as follows. PERFORMANCE 1.The Life Coach will provide Life Coaching Services and Life Exercises through this website. 2.The Life Coach may contract with consultants to provide Life Coaching Services to the Client. The Life Coach, its consultants, representative, employees and other agents will be collectively referred to in the Agreement as the Life Coach. 3.The Life Coaching Services required by this Agreement concern managing the Client’s personal and work life to create, enhance and maximize the Client’s wellness. 4.Life Coaching Services provided through this website by the Life Coach, its consultants, representatives, employees or other agents and are not a substitute for medical advice, or treatment buy professionals licensed to practice medicine, physical therapy, occupational therapy, speech therapy or other licensed activity. The Client will obtain medical advice and treatment from licensed practitioners in the Client’s location, residence or domicile. 5.The Client will submit inquires or other request for information, advice or life coaching (the “inquiry” or inquires”) to the Life Coach. 6.The Life Coach will respond to Client’s inquiry with advice, information or other services intended to create, enhance and or maximize the Client’s wellness ( the “Life Coaching Services”) COMPENSATION 7.Client agrees to pay Life Coach for each inquiry, Life Building Skills Exercises or any other services provided. GENERAL TERMS 8.Governing Law. This Agreement is governed by and construed in accordance with the internal laws of the Sate of Michigan exclusive of its conflict of law rules. Jurisdiction of any lawsuit arising under this Agreement shall be in Michigan. Venue of any lawsuit arising under this Agreement shall be in the County of Genesee, State of Michigan. 9.Partial Invalidity. Whenever possible, each provision of this agreement will be interpreted in such a way as to be effective and valid under applicable law. If a provision is prohibited by or invalid under applicable law, it will be ineffective only to the extent of such prohibition or invalidity, without invalidating the remainder of such provision or the remaining provision of this Agreement. 10.Electronic Signature. This Agreement is governed by the Uniform Electronic Transaction Act (“UETA”). MCL 450.831, et seq. Binding signatures to this agreement occurred by electronic means, including the use of “Click Here” computer options such as “I Accept” or “I Agree”. Evidence and records of this Agreement and its execution may be maintained and established by electronic means. 11.RELEASE OF LIABILITY. CLIENT RELEASES AND WAIVES ALL LIABILITY. IF ANY, OF STRIKE A BALANCE LIFE DESIGNS INC., ITS CONTRACTORS, CO,CONSULTANTS, AGENTS,SERVANTS, REPRESENTATIVES AND EMPLOYEES WITH REGARD TO ANY COACHING, SERVICES AND/OR ADVICE PROVIDED OR INITIATED THROUGH THIS WEBSITE FOR ANY CLAIMS, COSTS, DAMAGES, LOSSES, AND EXPENSES, INCLUDING COURT COSTS AND ATTORNEY FEES. 12.DISCLAIMER. STRIKE A BALANCE LIFE DESIGN INC. DISCLAIMS ALL WARRANTIES IN CONNECTION WITH PROVIDING FO GOODS AND/OR SERVICES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANT ABILITY OR FITNESS FOR A PARTICULAR PURPOSE, EXCEPT AS EXPRESSLY SET FORTH IN THIS DISCLAIMER. 13.OPPORTUNITY FOR COUNSEL. BEFORE ACCEPTING THE TERMS AND CONDITIONS OF THIS AGREEMENT, THE CLIENT HAS CONSULTED WITH OR HAD THE OPPORTUNITY TO CONSULT WITH AN ATTORNEY, AND NEITHER PARTY SHALL BE DEEMED TO BE THE DRAFTER OF THIS AGREEMENT.
